New Bylaws Adopted by Board of Directors

The Flagstaff Arts Council’s Board of Directors adopted new bylaws at its’ Wednesday, March 24, 2021 Board Meeting.

The changes go into effect on April 1, 2021. The bylaws were previously revised in 2018.

The new bylaws are in preparation of planned strategic plan updates which will be announced at Viola Awards in June.

Notable changes to the bylaws include:

  • Reducing the maximum size of the board from 25 to 17 members.
  • Creating a more flexible partnership framework. Previously, founding partners such as Coconino Community College, City of Flagstaff, and Greater Flagstaff Chamber of Commerce were named in the bylaws. Now, all partnerships are planned to be included by separate agreements.
  • Board giving, service requirements, and term length. Previously, board members were subject to a $1,000 give/get to serve quarterly or were required to serve on committees. All board members were required to have active memberships. Now, all board members are required to make a personally meaningful contribution annually and the board will no longer meet quarterly.

 

With the amended bylaw adoption, the board also updated its roster acknowledging that a few members were unable to commit to a more frequent meeting schedule and that the Coconino Center for the Arts Advisory Board was elevated as a permanent rather than ad-hoc committee.

The Board’s Governance Committee began the process of reviewing and changing the By-laws in August of 2020. The new By-laws were reviewed by an attorney before final edits were included and presented to the full Board.
